Role/ Department:
Senior Legal Counsel/Asset Servicing, Capital Markets Legal DepartmentAs a member of Northern Trust's Legal Department, this attorney will be responsible for providing high quality legal advice and counsel to support Northern Trust's rapidly growing Securities Finance business, with a specific focus on repurchase and reverse repurchase transactions.
The key responsibilities of the role include:
Engage directly with business partners to provide high quality legal advice on various issues including contract negotiation, regulatory developments, and product expansion Draft, review, negotiate and maintain templates for master repurchase agreements, and related documentation governing cleared and bilateral repo transactions Conduct collateral enforceability and netting analyses, including obtaining, reviewing and analyzing netting and collateral enforceability legal opinions available through industry associations or bespoke opinions from local counselSkills/
Qualifications:
Minimum 4 years' experience at a nationally recognized law firm or financial institution and advising clients in the financial services industry JD from an accredited law school and admitted to practice or willing to secure bar admission in Illinois Drafting and negotiating master netting agreements Experience independently managing or leading deal teams or program implementation Excellent organizational, interpersonal and communication skills with the ability to collaborate across inter-disciplinary teams to meet client needs Exceptional writing and research skills, reflecting self-motivation, attention to detail and effective issue spotting Knowledge of and familiarity with applicable clearing, banking, corporate, and securities laws and regulations, including one or more of the US Bank Holding Company Act, Basel III Capital Rules and ERISAWorking Model:
